1. Scope of Services
The Service Provider agrees to provide the following services ("Services") to the Client:

4. Intellectual Property Rights
4.1 Client Ownership
Upon full payment, the Client shall own all custom deliverables created specifically for this project, including:
- Custom source code developed for the project
- Final designs, graphics, and visual assets
- Custom content and documentation
- Project-specific configurations
4.2 Service Provider Retention
The Service Provider retains ownership of:
- Pre-existing code libraries, frameworks, and tools
- Proprietary methodologies and processes
- Reusable components and templates
- Portfolio rights to showcase the project
4.3 Third-Party Licenses
Any third-party software, libraries, or assets used in the project remain subject to their respective licenses (e.g., MIT, Apache, GPL).
5. Warranties and Support

The Service Provider warrants that deliverables will be free from defects for:

6. Client Responsibilities
The Client agrees to:
- Provide timely feedback and approvals (within 5 business days unless otherwise specified)
- Provide all necessary content, assets, and access credentials
- Designate a primary point of contact for the project
- Make payments according to the agreed schedule
- Provide access to required systems, servers, or third-party services
- Review and test deliverables within agreed timeframes
Delays caused by Client's failure to meet responsibilities may extend project timelines and potentially incur additional costs.
7. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information, trade secrets, and sensitive business data shared during the project. This obligation survives the termination of this Agreement.
8. Termination
8.1 Termination by Either Party
Either party may terminate this Agreement with 14 days' written notice. In case of termination:
- Client pays for all work completed up to termination date
- Service Provider delivers all work-in-progress materials
- Initial deposit is non-refundable
8.2 Immediate Termination
Either party may terminate immediately for material breach, including non-payment, violation of intellectual property rights, or breach of confidentiality.
9. Limitation of Liability
The Service Provider's total liability under this Agreement shall not exceed the total amount paid by the Client for the Services. Neither party shall be liable for indirect, consequential, or incidental damages.
This limitation does not apply to cases of gross negligence, willful misconduct, or breach of confidentiality.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Albania. Any disputes shall be resolved through:
- Good faith negotiation between the parties (30 days)
- Mediation through a mutually agreed mediator (if negotiation fails)
- Courts of Pogradec, Albania (as last resort)
EU Law Compliance: For EU-based clients, this agreement also respects applicable EU consumer protection laws and GDPR requirements.
